SUNNYVALE, CA, April 10, 2006 - SanDisk® Corporation (NASDAQ: SNDK) announced today that Dr. Eli Harari, 60, will be appointed as Chairman of the Board of Directors. Dr. Harari will maintain his position as Chief Executive Officer. Sanjay Mehrotra, 47, the Company's Executive Vice President and Chief Operating Officer, will assume the role of President while maintaining his position as Chief Operating Officer. Irwin Federman, 70, will be appointed as Vice Chairman of the Board of Directors and Lead Independent Director. Under the new organization, Sanjay and Judy Bruner -SanDisk's CFO and Executive VP for Finance and Administration will continue to report to Harari. These appointments will become effective June 1, 2006.

Mr. Mehrotra's responsibilities continue to include all SanDisk manufacturing operations, engineering, marketing, and sales. He is also executive vice president of FlashVision, a semiconductor company started by Toshiba and SanDisk to manufacture advanced NAND flash components. Mr. Mehrotra is a co-founder of SanDisk and has been with the company since its inception in 1988. He has more than 26 years of experience in the non-volatile semiconductor memory industry including engineering and engineering management positions at Intel Corporation, Seeq Technology, Integrated Device Technology and Atmel Corporation. Mehrotra earned B.S. and M.S. degrees in electrical engineering and computer sciences from the University of California, Berkeley. He holds more than 50 patents and has published articles in the area of non-volatile memory design and flash memory systems.
Dr. Harari has served as President and CEO since SanDisk's inception in 1988. He is a pioneer in non volatile semiconductor storage with more than 100 US and foreign patents and numerous technical articles. Before co-founding SanDisk he held technical and management positions at Hughes Microelectronics, Intel, Honeywell and WSI. He holds a M.A. and Ph.D. (1973) in Solid State Sciences from Princeton University and a B.Sc. (Honors, 1969) in Physics from Manchester University.
Mr. Federman has served as a Director of SanDisk since September 1988 and he has been a general partner in U.S. Venture Partners, a venture capital firm, since April 1990. He was President and CEO of Monolithic Memories, Inc., a semiconductor company, from 1978 to 1987. Prior to serving as President and CEO, he was the Chief Financial Officer of Monolithic Memories. Mr. Federman also serves as a director for Check Point Software Technologies Ltd., a security software company, and various private corporations. Mr. Federman holds a B.S. in Economics from Brooklyn College and was awarded an Honorary Doctorate of Engineering from Santa Clara University.
